By using 01SCHOOL'S (the Company, Our, Us,) Website (the "site"), you (the User, your) acknowledge that you have read and agree to the Terms and Conditions of Use (collectively, the "Terms") contained in this document.

01Schools (alias ZeroOneSchool) is an online live teaching platform that teaches technology and arts subjects with the primary focus on Computer Science and Mathematics. The institution conducts one-on-one and group classes.

1. Acceptance of Terms

The Company issues a variety of online courses through the use of the internet to help kids and children to take up online courses of their interest. The Site includes helpful lessons, online educational videos, tutorials, exercises to be solved at home and referred to as "Services" provided to the users.

This Agreement aims to bring out the Terms and Conditions that will apply to use this Site. The User agrees to comply with all the Terms in this Agreement or any other document provided on the Site. Once a person becomes the Site's User, his/her right to use the Site remains personal and exclusive and is non-transferable to any other person or entity. Due to the circumstances, out of the Company's control, this Agreement is subjected to interruption, suspension, or modification.

If the User objects to any term, or is unhappy or dissatisfied with the Site due to recent changes or any other way, the only remedy left with the User is to discontinue the Service. In the event that the User is of the opinion that any content or any working of the Site is contradictory to the State laws, or is derogatory in nature, due to the age-sensitive working of the Website, the User is required to bring that information in the purview of the Company before initiating any Legal action.

2. License to use

The Company allows and grants the teachers, parent and the child, the license of limited right to access, use and view the Site only to access, view, post or submit User material. The teachers, parent and child can access all the study material related to the course they opted for with the Company's permission only. The license granted is personal and is non-commercial. Any rights not explicitly stated in this Agreement, are reserved to the Site. By becoming the User of the Site, you grant the Company the right to use the User's image/photo to get published on the Site and its related pages. The Site has the exclusive right to use the mentioned image for promotion, marketing, press releases, publicity, and social media.

3. Intellectual Property Rights

The Site reserves all the rights including (copyrights, trademarks, patents, designs, logos, trade dress, trade secrets, and any other intellectual property right) in connection to all the content provided on the Site or via this Site including but not limited to the curriculum taught, all texts, graphics, photos, illustrations, apps and logos. The User shall not copy, download, publish, distribute or reproduce any of the information provided on this Site or social media in any way without the prior written consent of the Site.

All material provided on the Site is protected by copyright as a collective work under the United States and India's copyright laws. Any violation of this policy may result in copyright or trademark infringement which may further subject the User to civil and/or criminal penalties/punishments.

All images, photos including but not limited to photos of children, text and other materials posted on this Site are subject to copyrights owned by the Company or other authorized individuals who have uploaded the images/ photos or materials. Any distribution, transmission, reproduction, posting or republication of all or part of any image, photos, text, and other materials found on this Site is strictly prohibited and shall be considered as unauthorized and illegal. All other rights are reserved.

Moreover, the Site holds all the rights in the video recordings, sound/audio recordings, pictures/ images clicked during the classes/ lectures by the Site, and the sole owner of the same copyright. The User undertakes that he/she shall not record, make videos or sound/ audio recordings, take screenshots, click pictures and shall not download, publish, transmit, display, share or make copies of any of the classes/ lectures, whether in full or in part thereof that are conducted by the Site/Company (including the trial classes) unless you obtain prior written approval from the Site Any recordings, videos, sound/audio recordings, screenshots, pictures, images or content which are obtained without the prior written consent of the Site/Company shall amount to a breach of the instant terms and conditions, and you shall be solely liable for such breach under the applicable and mentioned laws.

The Company shall not be held liable for any infringement of third party copyright materials by the teachers, freelancers, etc. who shall be using the Site as an employee of the Company or on a contractual basis or commission basis. The Company may also hire Content Creators who shall prepare, make, create, draft the curriculum and the course content for the Site. The Company shall, as far as possible, endeavor to proofread the content prepared and created by the Content Creators hired by them but the Company shall not be held responsible in the event such content material is a copied, reproduced or republished material. In the event, any student and/or parent posts copyright material on the Site, the Company shall not be liable for the same. 4. Payment and Refund

The Site is a paid service, and the User should make the payment according to the courses he/she opted for. All the payments should be solely made through the Site's payment mechanisms to the User. The User has been provided with different payment methods which include but are not limited to Card Payment facilities, Online Bank Transfer and Wallet Payment. Payments made through valid cards, debit cards, credit cards, online bank transfers and other payment methods are processed by an appropriate payment system infrastructure. The Site is not liable for any unauthorized use, payment refunds, lost amount, frauds etc. in the transaction. Discounts, Freebies, Offers on the Service or select features may be offered to you or select users on the sole discretion of the Company Refund: You agree before selecting our services and making payment that you have evaluated the Company completely as per your requirements and agree that a lot of work is involved while providing the services. Hence, you agree that if you elect to cancel your subscription/ services after payment, you shall be entitled to any refunds per Company policies on refund & prorates mentioned on our Site.

5. Service availability

The Company shall follow all reasonable endeavours to make the Service available to you but shall not be liable in the event of any interruption of the Services provided to the Users.
The Company reserves the right to withdraw, modify, restrict or suspend the availability of the Service or any part of it.
The Service is provided solely for your use, and you are not permitted to re-sell or sub-licence or attempt to re-sell or sub-license the Service to any third party.
To the maximum extent permitted by law, the Company shall not be liable to you for any indirect, consequential or special loss or damages including but not limited to - any loss of profit, loss of anticipated saving, loss of goodwill, loss of business or reputation, loss of data or other such financial or business loss or damage.
Under no circumstances will the Company be liable under this Agreement in respect of any fault, which is the responsibility of any third-party service provider.

6. Termination

The Company shall be entitled to terminate these terms and conditions and cease to provide you with any Services with immediate effect in the event including but not limited to at its sole discretion if you:

fail to make the appropriate payment when due;
cheat or plagiarize any work which the User reads or is required to prepare and submit in connection with the Services or during any examination taken in connection with the Services;
the User fails to pay the tuition fees and any other charges for the services availed by him/her within the prescribed time

On termination, clause 3 (intellectual property rights) and 12 (limitation of liability), shall continue in perpetuity, notwithstanding such termination.

7. Data Protection

The Services provided by the Site means that the Site will obtain, use and disclose (together "Use") certain information about the User ("Data"). This statement sets out the principles governing the Site's Use of Data. By purchasing the Services, the User agrees to this use. When the User registers with us, the User will need to provide certain Data such as their contact details and demographic information. The Site will store this Data and use it to contact the User, provide the User with details of the Services user have purchased and otherwise as required during the course's normal provision.

The Site uses information such as the User's User ID, session identifiers, and password to enable the Site to identify whether the User is using our services, assist with providing services, and ensure that the User has access to relevant products.

The Company endeavours to take reasonable steps in order to protect the User's Personal Data including but not limited to the use of encryption technology, but cannot guarantee the security of any Data the User discloses. The User accepts the inherent security implications of being and transacting online and will not hold the Company responsible for any security breach.

8. User Responsibility and Conduct

Every activity by the User on the Site must be for lawful and legitimate purposes only. Any image, post or e-mail that infringes or violates the right of others, or any material which is threatening, unlawful, invasive of privacy or publicity rights, abusive, defamatory, vulgar, obscene, profane or otherwise objectionable, which constitutes an act of criminal offence, give rise to civil liability or otherwise violate any law, or which, without the Site's prior written approval, contains advertising or any solicitation with respect to services, will be considered as a violation of this Agreement.

The User is requested to not inhibit or restrict any other user from referring to or enjoying the Site. This conduct includes but is not limited to commercial or non-commercial use.

Any full-time Employee of the Company is restricted to collaborating with other services directly or indirectly competitive or engaging in a potentially competitive business with the Company including but not limited to e-learning schools or online platforms, is strictly prohibited.

The User is not entitled to contact any other User via the Site except when required on a project or problem-solving collaboration as per the Company's instruction. Moreover, the User has agreed not to harass, stalk or collect any personal information of another user through the Site's usage.

9. Intended Purpose of Use

Any application, content, or code created using the Site is entitled to be used only for prototypes and evaluation of validity and practicability of ideas. Any such application, code, or content should be strictly used for educational purposes only and for taking appropriate feedback by the students. The application, code or content is not fit for or meant to be used for any commercial use. If the User uses the application, code or content other than the use specified herein is strictly prohibited by the Site, and the Site will not be liable for any damage or loss incurred due to the User. The User will be liable for the same, and the User will indemnify the Site for any loss or damage.

10. Free education to the economically underprivileged students

The Company proposes to impart free education to economically underprivileged students. For this purpose, the Company shall be accepting the services of teachers who are willing to impart such free education voluntarily to the economically underpriviledged students without any fees. In the event, some nominal fees are collected from the economically underpriviledged students for the services rendered by the teachers who shall be imparting free education voluntarily, the nominal fees so collected shall be donated for charity work by the Company. The Company in its good faith is trying to impart education to students who are in dire need without any additional costs, hence, any liabilities that arise due to imparting free education on the Website, the Company shall not be liable at any costs.

However, the Company has the legal right to take action against Voluntary teachers, who have mal intentions and want to tarnish the brand of the Company, this would include but not limit any volunteer who is in fact not an actual volunteer but an employee of a third-company who has an ill-intention to copy trade-secrets, operations of the Company, or copy the study material of the Company. This third-party shall be liable to pay compensation to the Company for the damages caused and the loss of opportunity for plausible business for the Company.

11. Legal action against the use of obscene material

If any teacher, parent, child, or any unsocial element, or anyone who pretends to be a child or conceals his/her identity during registration and shares any obscene material, speech, literature, does any obscene activity or act or makes any remark or communication with the intent to degrade or discriminate any caste, creed, race or sex shall be liable for strict legal action by the Company.

The Company shall also be entitled to initiate strict legal action at the preferred Site of jurisdiction against any unsocial person who conceals his/her identity during any class/session conducted by the Company on Zoom or equivalent online platforms or any other platforms and attends the class intending to disrupt the class, share any obscene material or remark or communication or with the purpose of spying on behalf of other Competitor Company.

The Company shall not be responsible for any content posted under the above two scenarios, and shall not be liable for any event caused due to the above scenarios

12. Disclaimer of Warranty

There is no warranty provided by this Site, or its affiliates, related third parties, its agents, or licensors that the Site's usage will be without any interruption or error. The User uses and operates the Site or its linked sites on his/her own risk. Furthermore, any party related to the Site does not warrant that:

The results the User get from the use of this Site

The reliability, accuracy, merchandise or Service provided, or content of any information published on this Site

13. Confidentiality

During the term of this Agreement, the User will regard any information provided to it by the Company and designated in writing as proprietary or confidential to be confidential ("Confidential Information"). Confidential information shall also include information which, to a reasonable person familiar with the Company's business and the medical industry in which it operates, is of a confidential or proprietary nature. The User shall hold in confidence and shall not disclose (or permit or suffer its personnel to disclose) any Confidential Information to any person or entity. The User shall use such Confidential Information only for the purpose for which it was disclosed.

Information will not be deemed Confidential Information if such information: (i) is known beforehand, without any obligation of confidentiality; (ii) becomes known to the User directly or indirectly from a source other than one having an obligation of confidentiality to the Company; (iii) becomes publicly known or otherwise publicly available, except through a breach of this Agreement; or (iv) is independently developed by the User without the use of the Company's Confidential Information.

Notwithstanding any other provision of this Agreement, the User acknowledges that any use of the Company's Confidential Information in a manner inconsistent with the provisions of this Agreement may cause the Company irreparable and immediate damage for which remedies other than injunctive relief may be inadequate. Therefore, the User agrees that, in addition to any other remedy to which the Company may be entitled at law or equity, the Company shall be entitled to an injunction to restrain such use in addition to other appropriate remedies available under applicable law.

14. Breach

Without limiting other remedies that the Company may pursue, it may at its sole discretion take such action as it deems fit including but not limited to banning the Users activity, immediately remove information, warn other Users of such actions, forthwith temporarily/indefinitely suspend or terminate or block your subscription, and/or refuse to provide you with access to the application or initiate any legal action it may deem fit, particularly in the event:

- you breach any of the provisions of this Agreement including any laws/ rules/ regulations/ guidelines applicable from time to time or any policies/ documents/ terms and conditions made thereunder which are incorporated herein by reference; and

- failure of verification or authentication of any information provided by you.

- Knowingly or unknowingly any content, including but not limited to the Company's trade secret, any information vital to the business of the Company is leaked or shown to any third-party without the written consent of the Company.

15. Limitation of Liability

This limitation of liability relates to any injury or damages caused by any failure of performance, omission, error, interruption, defect, delay in operation or transmission, computer virus, communication line failure, destruction or theft or alteration of or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action. User specifically acknowledges that the Company is not responsible for the defamatory, offensive, or illegal conduct of other users or third-parties and that the risk of injury from the foregoing rests entirely with the User.

In no circumstance shall (name of the Site), or any person or entity involved in creating, producing or distributing this Site or its contents, including any software, be responsible for any damages, including, without limitation, direct, indirect, incidental, special, punitive or consequential damages arising out of the use of or inability to use this Site. As a result of this, the User acknowledges that the provisions of this section shall apply to all content on this Site.

In addition to the terms conditions mentioned above, neither the Company, nor its affiliates, content partners, information providers shall be liable or responsible regardless of the cause or duration, for any omissions, errors, inaccuracies or other defects in, unauthenticity or untimeliness of the information contained within this Site, or its transmission to the User or for any claims or losses your inability to access the Site. None of the foregoing parties shall be responsible for any third-party claims or losses of any nature, including without limitation lost profits, punitive or consequential damages.

The Company is not liable or responsible for any content that a user or an unauthorized user may post on this Site. Any content or information posted or uploaded that is or may be deemed unsuitable can and may be taken down by the Site. Furthermore, the Site reserves the right to change, delete, alter, edit and prohibit any and all content that it deems unsuitable. These limitations shall apply to the fullest extent as per permitted by law.

16. Privacy

Any content the User adds to the Site which may include, comments, posts, content, ratings, forums, chat rooms and/or other message or any other communication facility is wholly acknowledged and visible to the other users and visitors of the Site so others may read your communication without the User knowing. By posting content, code, messages on the Site, you entitle the Site the right to use such published content by the User to further use it for marketing, promotion or any other lawful purpose. 17. Indemnification

The User agrees to indemnify and hold (name of the Site), its related parties which include but are not limited to, officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, protection from any claim or demand, including reasonable lawyer fees and litigation or court costs, made by any third party due to or arising out of Content the User submit, post or make available through the Site, or through use of the Site, the User violates the Terms, the User breaches any of the representations and warranties herein or violation of any rights of another.

18. No Spam

The User understands and agrees that transferring unsolicited e-mail advertisements to the Company e-mail addresses or through the Company computer systems, is expressly prohibited by these Terms. Any unauthorized use of The Company computer systems is a violation of these Terms, and certain laws apply to it, including without limitation the Computer Fraud and Abuse Act (18 USC A 1030). Such violations may result into civil and criminal penalties for the sender and his agents.

19. Third-Party

In certain cases, the Site may include distributing information supplied by and hyperlinks to, third parties and users. Any advice, opinions, offers, services, statements or other content or information expressed or made available by related or third parties, including information providers, or any other users are those of the respective author(s) or distributors and not of the Company. It is the User's responsibility to check and evaluate the accuracy, completeness, or usefulness of any information, opinion, advice, etc., or other content available through third-party links and/or materials or on the Company website. In no circumstances will the Company be liable for any loss or damage caused by the User's reliance on information obtained through the Site and/or third-party links and/or materials. The user access any third party links at his/her own risk.

20. Modifications to terms

From time to time and at the Company's sole discretion, it reserves the right to make any changes to the Terms mentioned herein or the Site without any prior notification to its users. The User is bound to accept the changes if any made in terms and conditions of this Site and its Privacy Policy. Using and visiting the Site or Services following any change in services offered, the Terms and Conditions of Use or Privacy Policy carries both notice of the change and your acceptance of such changes.

21. Miscellaneous

Waiver: No failure or delay on the part of the Company relating to the exercise of any right, power, privilege or remedy provided under this Agreement shall operate as a waiver of such right, power, privilege or remedy or as a waiver of any proceeding or succeeding breach by the other party to this Agreement.

Use of Name & Logo: You grant us the right to use your business or company name and logo as a reference for marketing or promotional purposes on our Website and in other public or private communications with our existing or potential customers, subject to your standard trademark usage guidelines as provided to us from time-to-time. We shall not list you if you do not wish to be listed and you can e-mail us at any time to inform us of the same.

No Partnership: Nothing in this Agreement shall be construed to imply any employer-employee relationship between the Parties. It is expressly understood that they are independent contractors and no employment or partnership of any kind is intended between the Parties.

Arbitration: Any controversy or claim arising out of or relating to this Agreement will be settled by arbitration in accordance with provisions of The Federal Arbitration Act (USA), and following provisions shall apply:

- The Site of the arbitration shall be Michigan, USA.

- The language for arbitration shall be in English.

- This Agreement/Scheme shall be construed and governed by the laws of the USA.

22. Notices

The Site may contain links to other websites, applications, and resources; however, the Company is not responsible and shall not be held liable for these resources' availability or content or accuracy. No endorsement or approval of any such third party websites, their advice, opinions, accuracy, information, products or services is expressed or implied by any information on our Site and where we provide such links it is done for your convenience only and shall be at your own risk and we shall not be liable for any damages or losses arising in connection therewith. We recommend you make yourself familiar with any third party providers and their terms and conditions of Service before signing up to receive any other third party services and/or products.

All notices to and from the Company shall be sent via e-mail at contactus@01schools.com All communications, including notices, sent via any other electronic means shall satisfy all legal requirements that such communications would as if they were in writing, provided the Company is notified on the above e-mail address. However, Legal Communications made through service e-mails, and messaging system will not constitute legal notice to the Company or its affiliates.
